Two charged with insider trading over 2009 IBM deal
NEW YORK (Reuters) - Two former stock brokers at a Connecticut financial services company were charged with criminal insider trading on Thursday over a 2009 acquisition by computer giant IBM Corp.
U.S. authorities said Thomas Conradt, David Weishaus and three unnamed colleagues made more than $1 million in illicit gains by trading in shares of SPSS Inc before IBM agreed on July 28, 2009, to buy the Chicago-based software company for $1.2 billion.
The criminal indictment details a trail of instant messages involving the men about their activity, some of which refer to other insider-trading cases involving homemaking doyenne Martha Stewart and the billionaire Mark Cuban.
Prosecutors said the scheme got its start with a tip from an associate at the New York law firm that represented IBM in the transaction. Prosecutors did not name the law firm, but Cravath Swaine & Moore has said it was IBM's representative.
"Thomas Conradt, David Weishaus and their co-conspirators engaged in a chain of illegal tipping simply because they wanted to get rich quick," federal prosecutor Preet Bharara said in a statement.
Conradt, 34, is a lawyer living in Denver, while Weishaus, 32, lives in Baltimore. At the time of the alleged insider trading, both were employed at Euro Pacific Capital Inc, a Westport, Connecticut-based firm, according to the Financial Industry Regulatory Authority.
Conradt and Weishaus were arrested by the Federal Bureau of Investigation Thursday morning, an FBI spokesman said.
They were each charged with three criminal counts of securities fraud and one criminal count of conspiracy in an indictment unsealed in U.S. District Court in Manhattan.
They face up to 20 years in prison and a $5 million fine on each of the securities fraud counts. Both are expected to make initial appearances in federal courts near where they live.
The U.S. Securities and Exchange Commission filed related civil fraud charges against both men.
Sharon Feldman, a lawyer for Conradt, did not immediately respond to a request for comment. Michael Grudberg, a lawyer for Weishaus, declined to comment.
Euro Pacific Capital and Cravath did not immediately respond to requests for comment. Armonk, New York-based IBM did not immediately respond to a similar request.
KEEPING IT IN THE FAMILY
IBM agreed to pay $50 per share for SPSS, a 42 percent premium to SPSS' closing price on the day before the purchase was announced.
According to court papers, Conradt's roommate, an Australian equities analyst, had learned about the pending acquisition from a close friend, a New Zealand citizen who worked as an associate at the New York law firm.
Investigators said Conradt then tipped Weishaus, who in turn tipped three colleagues, who were not named in court papers. These five people placed the various improper trades in SPSS stock and options, according to the court papers.
The indictment outlines a series of instant messages involving the defendants that prosecutors said reflect their involvement in the improper trades.
In one exchange, according to the indictment, Conradt on July 1, 2009, told Weishaus, "Jesus, don't tell anyone else ... we gotta keep this in the family."
Weishaus then said, "I don't want to go to jail," said "Martha Stewart spent 5 months in the slammer," and alluded to an SEC insider-trading case against Cuban, the owner of the Dallas Mavericks pro basketball team.
On July 23, Weishaus refused to buy SPSS call options for Conradt, prompting Conradt to write, "I'm setting this deal up for everyone ... making everyone rich," according to the indictment.
The criminal case is U.S. v. Conradt et al, U.S. District Court, Southern District of New York, No. 12-cr-00887. The SEC case is SEC v. Conradt et al in the same court, No. 12-08676.

The Senate Judiciary Committee Thursday approved legislation that would require police to obtain a search warrant from a judge, and not just a subpoena from a prosecutor,?before accessing the content of all emails and other private information from Google, Yahoo and other Internet providers. Under the current law, the 1986 Electronic Communications Privacy Act, a warrant is needed only for emails less than 6 months old.
The full Senate is expected to vote on the legislation next year.
"This is an important gain for privacy," said Chris Calabrese, legislative counsel for the American Civil Liberties Union, in a statement. "We are very happy that the committee voted that all electronic content like emails, photos and other communications held by companies like Google and Facebook should be protected with a search warrant.?We believe law enforcement should use the same standard to search your inbox that they do to search your home."
Still, the bill won't keep federal agents from combing through your inbox if they believe a crime has been committed, legal experts say. Federal and state authorities still will have a robust set of tools to track down lawbreakers even as these officials oppose changes supported by a broad coalition of technology companies and public interest groups.
Supporters of the bill, sponsored by Judiciary Committee Chairman Patrick Leahy, D-Vt., say the changes are necessary to overhaul a law that is outdated in an era of cloud computing, cheaper electronic storage, social networking and wireless phones. Such advances in technology have dramatically increased the amount of stored communications in ways no one anticipated a quarter of a century ago.
The approval is "a major step forward in efforts to reform the Electronic Communications Privacy Act The current law must be updated to address the tremendous technological advances that have taken place in the last 25 years. Congress must ensure that information Americans store in the cloud receives the same level of protection as the information stored in their homes," said?David LeDuc, senior director of public policy for the Software & Information Industry Association trade group.
The Justice Department has resisted the changes. The associate deputy attorney general, James Baker, urged the committee last year to consider the adverse impact on criminal and national security investigations if a warrant were the only means for law enforcement officials to obtain emails and other digital files.
But setting the bar higher doesn't prevent law enforcement agencies from doing their jobs, according to current and former prosecutors, judges and attorneys who specialize in privacy issues. Federal law enforcement authorities in four Midwestern and Southern states have been working with the more demanding warrant requirement since 2010 after an appeals court ruled warrantless access to emails was unconstitutional. To get a warrant, a judge must have proof of probable cause that a crime is being committed.
"I don't see anything (in the Senate bill) that's going to seriously concern law enforcement in terms of our ability to request warrants and to get the contents of the material that we need," said Joseph Cassilly, the state's attorney in Harford County, Md., and a former president of the National District Attorneys Association. "Since you've already got to get warrants for the stuff that's less than 180 days, it's obviously not an insurmountable standard."
Nor does the legislation weaken other methods used by law enforcement for collecting electronic information. A subpoena signed by a federal prosecutor ? not a judge ? will continue to be sufficient for obtaining routing data from third-party Internet providers that can identify the sender of an email and the location where the message was sent.
Police also can use what is known as a "D order" to get the "to" and "from" addresses of an email, but not the contents. These orders must be issued by a judge, but the agency seeking one need only show there is reasonable suspicion of a crime ? a lower legal standard than probable cause.
In a Nov. 21 letter to Leahy, 30 former federal and state prosecutors and judges said the bill would provide "a much needed judicial check on when the government can access our private digital information." Concerns that the bill would keep law enforcement from acting quickly during emergencies are unfounded, they added, because the Senate bill does not change a provision in the existing law that compels third-party providers to give the government information in situations where lives are at risk or children are being exploited or abused.
Digital Due Process, a wide-ranging coalition that includes Google, Microsoft and Twitter, as well as the American Civil Liberties Union and Grover Norquist's Americans for Tax Reform, has mounted a public relations campaign supporting the Senate bill. The coalition says updating the law will clear the "murky legal landscape" for companies and consumers alike and provide the proper safeguards for the vast amounts of information stored in server farms.
There's money at stake, too. The global market for cloud computing via the Internet is estimated to be $240 billion by 2020. But the Business Software Alliance, a coalition member that represents Apple, Intel and Microsoft, said U.S. cloud providers are at a disadvantage unless online privacy and security laws are changed. If consumers aren't sure their information is being properly protected on the remote, networked computer servers that make up the cloud, they'll take their business elsewhere.
Use of the law has been interpreted inconsistently by the courts, further fuel for those pushing for an overhaul. In a 2010 decision, the 6th U.S. Circuit Court of Appeals in Cincinnati ruled that an Ohio businessman's constitutional rights were violated when federal investigators obtained thousands of his emails without warrants. Now investigators in states covered by the 6th Circuit ? Ohio, Michigan, Kentucky and Tennessee ? must obtain warrants for all emails. But that's not the law in other federal circuits.
In the 9th Circuit Court of Appeals, which covers California, Washington, Oregon and six other Western states, judges ruled that a search warrant was required for both opened and unopened email, but only if left on a server for less than 180 days. The Justice Department has argued that a search warrant is required for unopened email left on a server for less than 180 days, but not for opened email less than 180 days old.
The decisions mean different rules apply depending where an investigation begins. How should emails be treated if a case starts in Pennsylvania and the messages are stored on a server in California, the hub for Google, Yahoo and other major Internet businesses?
"It's very confusing," said Hanni Fakhoury, a staff attorney at the Electronic Frontier Foundation in San Francisco. "Law enforcement will never admit this, but a uniform search warrant standard is easier for them."

Sara Wright, Indiana Teacher, Swaps Exercise Balls For Desk Chairs In 5th-Grade Classroom
Students in Sara Wright's fifth-grade class are embracing a new seating arrangement -- without chairs.
The Wea Ridge Elementary School teacher in Lafayette, Ind., has swapped desk chairs for exercise balls, a move inspired by research on ramping up classroom motivation, WISH-TV reports.
"It said it really increased their attention span because their body is engaged and their mind is engaged," Wright told the station. "It's also burning calories so they're not as fidgety throughout the day."
A 2003 study by the American Journal of Occupational therapy concluded that the use of exercise balls improved behavior and legible word productivity among students with attention deficit hyperactivity disorder. Researchers also found that both teachers and students preferred therapy balls to regular desk chairs.
And while the experiment is still in its early stages at Wea Elementary, Wright said she's already seeing some preliminary results. She told the Journal and Courier that her students are more attentive and fewer are turning in late assignments. The kids agree.
"I think they're really nice because it's really good for your back when you're just sitting on them, and it makes me concentrate a lot and our class has been a lot nicer to people that walk in the room," fifth-grade student Bess Wheeler told the Journal and Courier.
The change in Wright's classroom was made possible by $1,000 in donations received through a one-week Donors Choose campaign. Other teachers are keeping an eye on her students' progress to decide whether to adopt the same strategy in their own classrooms.
"I'm the guinea pig," Wright told the Journal and Courier.
The experiment at Wea Elementary has been far better received than another holistic classroom approach in California. A twice-a-week yoga program in the Encinitas Union School District had parents of the southern California school system slamming the initiative as religious indoctrination.
The program was launched in half of the district's schools to promote student mental and physical health, but parents have threatened legal action over its constitutionality.

Mavericks to sign veteran Derek Fisher
CHICAGO (AP) ? The short-handed Dallas Mavericks will sign 16-year veteran point guard Derek Fisher on Thursday, coach Rick Carlisle said after team's 101-78 loss to Chicago on Wednesday night.
The move is contingent on Fisher passing a physical.
Dallas played Wednesday without Darren Collison, who had started 14 of its first games at the point, because of a sprained right middle finger sustained Tuesday night in loss to Philadelphia.
"We need help at point guard," Carlisle said. "I found out on the way over here that Collison would be out, and we were fortunate to get (Jared) Cunningham active.
"We feel (Fisher) can help us. It's not a cure-all to all of our team challenges, but his expertise and experience will help."
Third-year guard Dominique Jones started for the second straight game at the position, getting 10 points and five assists in 24 minutes. Rodrigue Beaubois also saw time at the position.
The 38-year-old Fisher has won five titles, all with the Los Angeles Lakers, during his 16 NBA seasons. He played in all 20 of Oklahoma City's playoff games last season as the Thunder made the finals.
"We're just struggling a little bit right now," center Chris Kaman said. "Having Fisher come in tomorrow could help. Having a vet come in like that is great, who can help some of our young guys."
Fisher is a stout defender who has averaged 8.6 points over his career. He will rank fifth among all active players in games played when he takes the court for Dallas.
Fisher is the current president of the NBA Players Association and was a prominent figure in last season's lockout that limited the season to 66 games.
Dallas will have to release one of its current 15 players to make room for Fisher. The Mavericks (7-9) have played the entire season without star forward Dirk Nowitzki as the former NBA MVP recovers from right knee surgery.

Kim Kardashian divorce inches toward trial
LOS ANGELES (AP) ? Kim Kardashian's divorce attorney told a judge Wednesday that the reality star wants to move on with her life but is "handcuffed" to her estranged husband because the case is not yet ready for trial.
Superior Court Judge Stephen Moloney told attorneys for Kardashian and NBA player Kris Humphries to return to court in mid-February to set a trial date to either dissolve or annul the couple's 72-day marriage. He didn't set a deadline for depositions and other pre-trial investigation to be completed, but indicated a trial could be held early next year if it is ready by Feb. 15.
Humphries, a power forward for the Brooklyn Nets, is seeking an annulment based on fraud, but his attorney says he needs more time to collect documents from companies that handle Kardashian's reality shows.
Kardashian is seeking a traditional divorce and her attorney Laura Wasser has cited both the marriage's short duration and a prenuptial agreement as reasons for why it should be quickly resolved.
"I don't think his client has a fraud case," Wasser said in court of Humphries' attorney. "I think there's a fishing expedition going on here."
Humphries' attorney Marshall Waller said he needed to be sure he had documents from E! Entertainment and NBC Universal before deciding the scope of his case, but that he was narrowing it down.
"I do understand the desire to get this case moved," Waller said. "There's nothing in particular about this case that makes it more important than anybody else."
Wasser however said that unlike in a regular divorce proceeding, Kardashian cannot have her marriage dissolved and resolve other issues later. "Ms. Kardashian is now handcuffed to Mr. Humphries," she said.
Kardashian filed for divorce more than a year ago, citing irreconcilable differences just weeks after the couple's star-studded and televised wedding. Humphries later filed for an annulment, claiming the marriage was based on fraud but he has yet to lay out any specific evidence for his claim.
Wasser says Kardashian's mother, Kris Jenner, and current boyfriend, Kanye West, have been deposed in the case.
Kardashian, 32, has not yet been deposed in the case. She is the star of the E! Entertainment Television series "Keeping Up with the Kardashians," the network's top-rated show, which averaged more than 3 million viewers in its sixth season. She also appears on other series involving her family.

The Prime Minister said that Russia's trade turnover with Europe was $ 400 billion, almost half of Russia's foreign trade turnover. "And almost 42% of the country's foreign currency reserves are stored in the euro."
Medvedev expressed hope that this monetary currency would not be sacrificed over difficulties plaguing some European countries.
The Prime Minister recalled that the 2008 crisis began, among other things, due to an insufficient number of reserve currencies, besides the dollar. The Prime Minister expressed confidence that the developing markets, like that of Russia and other BRICS countries, will, likewise, cope with the current "ominous" economic situation.

At the same time, Medvedev believes that in recent years a good deal has been achieved in Russian-American relations. In particular, a new agreement signed on reducing offensive armaments, settlement of visa issues, and intensified cooperation in the sphere of economy.
The Prime Minister expressed hope that Moscow and Washington would continue mutually beneficial cooperation.

BEIRUT (AP) ? The Syrian government shut down the Internet across the country and cut cellphone services in select areas Thursday as rebels and government troops waged fierce battles near the capital's airport, forcing international airlines to suspend flights, activists said.
The Internet blackout, confirmed by two U.S-based companies that monitor online connectivity, is unprecedented in Syria's 20-month-old uprising against President Bashar Assad. Regime forces have suffered a string of tactical defeats in recent weeks ? losing air bases and other strategic facilities ? and the blackout may be an attempt by the government dull any further rebel offensives by hampering communications.
Authorities often cut phone lines and Internet access in select areas where regime forces are conducting major military operations to disrupt rebel communications. Activists in Syria reached Thursday by satellite telephone confirmed the blackout.
Renesys, a U.S.-based network security firm that studies Internet disruptions, said in a statement that Syria effectively disappeared from the Internet at 12:26 p.m. local time.
"In the global routing table, all 84 of Syria's IP address blocks have become unreachable, effectively removing the country from the Internet," Renesys said.
Akamai Technologies Inc., another U.S-based company that distributes content on the Internet, also confirmed a complete outage for Syria.
With pressure building against the regime on several fronts, rebels have been trying to push their way back into the capital after being largely driven out after a July offensive into Damascus. Opposition fighters were battling government troops near the city's international airport Thursday, the Britain-based Syrian Observatory for Human Rights said, prompting the military to close the road to the facility.
Both the Dubai-based airline Emirates and EgyptAir have temporarily suspended flights to Damascus.
A senior EgyptAir official said the flight to Damascus scheduled for Friday has been canceled in light of the deteriorating conditions at Damascus airport. The official said an emergency meeting is scheduled to look into whether to halt all flights to the Syrian capital.
The airport lies on the capital's southern outskirts, and the surrounding districts have been strongholds of support for the rebels since the start of the uprising.
Government warplanes struck the rebellious districts around Damascus on Thursday, including Daraya, where fighting has raged for days, as rebels fight their way into the capital, the Observatory said.
The revolt in Syria began with peaceful protests but turned into a civil war after the government waged a brutal crackdown on dissent. Activists say more than 40,000 people have been killed.
In the country's south, rebels bombed the house of a top member of the country's ruling Baath party Thursday, killing him and his three body guards, activists said.
The bombing took place in Daraa, where the uprising began in March 2011. Since then, rebels have frequently targeted regime figures and military commanders. The increasing frequency of bombings, a hallmark of Islamic extremists like al-Qaida, has led to concerns about the growing role of Islamist militants in the civil war.

WASHINGTON (AP) ? An administration official says two of President Barack Obama's top negotiators on the "fiscal cliff" will meet separately on Thursday with leading lawmakers.
The sessions are seen as an important step in determining how the government will avoid a year-end package of tax increases and spending cuts that could throw the economy into recession.
Treasury Secretary Timothy Geithner (GYT'-nur) and White House legislative chief Rob Nabors will meet on Thursday with House Speaker John Boehner of Ohio, Senate Republican leader Mitch McConnell of Kentucky, Senate Majority Leader Harry Reid of Nevada and House Democratic leader Nancy Pelosi of California.
The official spoke on condition of anonymity because the meetings had not yet been publicly announced.
The meetings will take place on Capitol Hill.

Illuminating the no-man's land of waters' surface: Strong electric charge observed at the interface between oil and water is not due to impurities
ScienceDaily (Nov. 27, 2012) ? Water repelling molecules are said to be hydrophobic. The hydration -- or formation of water interfaces around hydrophobic molecules -- is important for many biological processes: protein folding, membrane formation, transport of proteins across an interface, the transmission of action potentials across membranes. It is involved as well in the process of creating mayonnaise, or in the fact that you can get rid of fat with soap. Hydrophobic interfaces although long studied, are poorly understood.
Here's an amusing kitchen-table experiment to illustrate waters unusual properties: put a drop of pure insulating oil in a glass of pure, non-conducting water, and create an electric field using two wires hooked up to a battery. You'll see the oil move from the negative to the positive pole of the little circuit you've created. You have created charge in a mixture that was neutral, and a huge amount of it too, judging from the speed at which the droplets move. The same thing happens for gas bubbles in water; the phenomenon of charging applies to all hydrophobic/water interfaces.
A century of debates
It's not a new discovery; scientists have observed the phenomenon in the middle of the 19th century. But despite more than a century of research, the reason why such a huge electric charge exists is still the subject of heated debate.
In an article published this week in Angewandte Chemie -- a journal of reference in the field -- EPFL scientist Sylvie Roke challenges a hypothesis put forward last spring in the same journal. With experimental proof to back her up, the holder of the Julia Jacobi chair in photomedicine makes her case: the phenomenon is not caused by the inevitable "impurities" present in oils, as her colleagues claim, but rather by certain intrinsic properties of the water molecules involved.
Show the unseeable
For proof, Roke turns to the technologies in which she is an expert -- nonlinear optics and light diffusion. Using carefully filtered lasers channeled through a complex circuit of mirrors and lenses, she "hits" her sample -- barely a drop -- and measures the wavelength of the light that escapes from it. With this she can detect whether or not there are nanoscopic molecules on the interface between the oil and the water.
The precision of the observations "shows that negative charges exist even in a total absence of surface impurities, and thus the explanation put forward by my colleagues, which was derived from charge measurements and chemical titrations of the bulk liquids, doesn't hold up," says Roke. "We have developed a unique apparatus that can distinctly measure the interfacial structure of a layer on the sub-nanometer length scale that surrounds a droplet of oil in water. Thus, we can 'see' what is on the interface, and do not have to deduce it from comparing bulk properties, which is far less accurate."
Disproving a hypothesis isn't enough to explain a phenomenon, however. Roke is studying a promising avenue, that explores the intrinsic quantum nature of the water molecule itself, which might be responsible for the phenomenon. "The measurements we've made as part of this refutation could be used to try and prove this explanation," she says. "It's fascinating, because quantum effects (the smallest of the smallest) might be responsible for macroscopic charging effects that influence so many properties that relate to the functioning of the human body."

Chemical producers' shares mixed on growth worries
NEW YORK (AP) ? Shares of chemical manufacturers were mixed Wednesday on concerns about global growth amid U.S. budget negotiations and Europe's debt struggles.
During the fifth annual Citi Research Basic Materials Symposium, the mood among chemical companies was cautious because of economic uncertainty, Citi Research analyst P.J. Juvekar said.
Companies tied to the U.S. shale gas, housing and aerospace industries offered relatively optimistic outlooks. Manufacturers linked to electronics were more guarded, Juvekar wrote in a research note to clients.
President Barack Obama and congressional leaders are working to reach a compromise on the national budget. Without an agreement, huge tax increases and spending cuts will take automatically effect Jan. 1 that economists say could push the U.S. into recession.
In Europe, the region encompassing the 17 countries that use the euro is back in a recession for the first time in three years because of the financial crisis. Leaders are working on a plan to offer more emergency loans to Greece as part of the overall efforts to stabilize the economy.
In afternoon trading, shares of Dow Chemical Co. rose 1 cent to $29.72; DuPont fell 25 cents to $43.19; and Huntsman Corp. fell 39 cents, or 2.4 percent, to $15.90.
LyondellBasell Industries NV rose 40 cents to $47.95, Ashland Inc. rose 14 cents to $70 and Westlake Chemical Corp. rose 30 cents to $70.41.

When we met, I asked her how she'd like to stay in contact, what would be comfortable for her, like it was a definite, not a maybe, and I asked if she'd please share the baby's likes, dislikes, usual bedtime routine, feedings, nightlight or no, the diaper and wipe brands that she used, etc. so we could make the transition as familiar for baby as possible. That really broke the ice because it kept the conversation going for a long while, and I hope she felt my respect for her as his mother. I took a lot of notes, and they really did help get our FS settled in smoothly. We changed very little of his routine or foods the first few weeks to let him just focus on us. Then we started slowlh tweaking to match our lives. I also sent pics and told her to text as often as she wanted during those transition visits, and she took me up on it.
Very emotional the day you move them permanently to your home, but she knows it's coming, too. Just have to be gentle with her feelings, and you're already doing that.

Massachusetts expands probe into evidence falsified by state lab
CAMBRIDGE, Massachusetts (Reuters) - Investigators have identified 10,000 people convicted or accused of crimes based on evidence handled by a Massachusetts state crime lab chemist who falsified tests, and officials said they planned review thousands more cases dating back nine years.
David Meier, a former prosecutor appointed by Governor Deval Patrick to lead the investigation, said his team initially had identified 2,000 people imprisoned or held on bail because of evidence tested by crime lab chemist Annie Dookhan, a governor's office spokeswoman said on Tuesday.
Investigators have now identified about 8,000 more people who have been convicted or were on probation or parole, bringing the total to about 10,000 people, he said.
So far 195 people have been released from prison pending new trials as a result of the investigation.
In August, Dookhan told investigators she "screwed up big time" by intentionally contaminating samples, forging approvals and failing to follow procedures, according to a police report.
Dookhan, who was removed from the testing lab in June 2011, said no one else at the lab knew what she had done, and that she had deliberately disobeyed orders. Dookhan said she was simply trying to get more work done.
Investigators have begun a file-by-file review of all cases handled by Dookhan to ensure they have identified everyone affected by Dookhan's lab work, an effort expected to take months, Meier said, according to the spokeswoman.
Dookhan handled more than 60,000 drug samples linked to 34,000 cases during her nine-year tenure at the state forensics lab in Jamaica Plain.
She resigned in March and was arrested six months later on charges of obstructing justice and lying about her training. If convicted, she faces up to 20 years in prison.
The governor has requested $30 million from the state to cover the cost of the investigation, the spokeswoman said.
